Dear Sirs,
Amalgamation of Sresta Natural Bioproducts Private Limited and Wimco Limited with the Company
Further to our letter dated 1st August, 2025, we write to advise that the Scheme of Amalgamation of Sresta Natural Bioproducts Private Limited (Sresta) and Wimco Limited (Wimco) with the Company (Scheme) has been sanctioned by the Hon'ble National Company Law Tribunal, Kolkata and Hyderabad Benches; certified copies of the Orders have been filed today with the Registrar of Companies, West Bengal and Telangana, respectively.
We further advise that the aforesaid companies have mutually acknowledged that all the conditions specified in Clause 30.1 of the Scheme have been fulfilled and accordingly, (i) the Appointed Date of the Scheme shall be 13th June, 2025 for Sresta and 1st April, 2025 for Wimco, in accordance with Clauses 4.3 and 4.4 of the Scheme, respectively, and (ii) the Effective Date of the Scheme shall be the first day of the following month i.e. 1st June, 2026, in accordance with Clause 4.8 of the Scheme.
With effect from 1st June, 2026 (i.e., the Effective Date), Sresta and Wimco will be dissolved without winding up and accordingly cease to be subsidiaries of the Company, and the two subsidiaries of Sresta viz., Sresta Global FZE, UAE and Fyve Elements LLC, USA, will become direct wholly owned subsidiaries of the Company.
