Milano, 2 maggio 2018 – IWB S.p.A. – con riferimento al Regolamento dei "Warrant Italian Wine Brands S.p.A." (i "Warrant") e facendo seguito alla comunicazione del 3 aprile u.s. di avveramento della Condizione di Accelerazione verificatasi in data 31 marzo 2018 – comunica che, durante il periodo di esercizio compreso tra il 23 aprile e il 30 aprile 2018, risultano pervenute richieste di esercizio di n. 2.018.362 Warrant. Di conseguenza, la Società ha provveduto ad emettere n. 581.078 azioni ordinarie, per un controvalore complessivo di Euro 58.107,80, secondo le modalità previste dal Regolamento dei Warrant.
Per effetto di quanto precede, il nuovo capitale sociale di IWB S.p.A. sarà pari ad Euro 846.390,60 suddiviso in n. 7.067.446 Azioni Ordinarie, prive di valore nominale.
L'attestazione di avvenuta sottoscrizione delle azioni ordinarie di nuova emissione di cui sopra sarà depositata presso il Registro delle Imprese di Milano ai sensi dell'art. 2444 c.c. e apposita comunicazione di variazione del capitale sociale verrà effettuata dalla Società.
La Società comunica, inoltre, che alla data odierna i Warrant ancora esercitabili sono n. 1.163.707. Si ricorda che i portatori dei Warrant dovranno esercitarli e richiedere la sottoscrizione delle Azioni di Compendio al Prezzo di Sottoscrizione Azioni entro e non oltre il 21 giugno 2018 (il "Termine di Decadenza") in ragione del Rapporto di Esercizio pari a 0,2879, come da dettaglio fornito nel comunicato stampa del 3 aprile u.s.. I Warrant non esercitati entro il Termine di Decadenza decadranno da ogni diritto divenendo privi di validità ad ogni effetto.

Milan, 2 May 2018 – Pursuant to the regulation governing Italian Wine Brands S.p.A. Warrants (hereinafter, the "Regulation"), and according to the "fulfillment of acceleration condition" (communicated on the 3 rd of April with a specific press release), IWB S.p.A. does hereby inform that no. 2,018,362 warrant exercise requests were submitted in the period 23-30 April 2018. As a consequence, the Company issued no. 581,078 ordinary shares for a total value of EUR 58,107.80, in accordance with the procedure provided for by Warrant regulations.
As a result of the above, IWB S.p.A.'s updated share capital will be EUR 846,390.60, divided into no. 7,067,446 ordinary shares with no face value.
The registration statement for the subscription of the aforesaid newly issued ordinary shares will be filed with the Milan Company Register, pursuant to Art. 2444 of the Italian Civil Code and the Company will give notice of the change in the company capital accordingly.
The Company informs that, as at today, n. 1,163,707 warrants are exercisable. All Warrant holders shall exercise their Warrants and apply for the subscription to Converted Shares at the Share Subscription Price no later than 21 June 2018 (hereinafter, the "Mandatory Time Limit") according to the Exercise Ratio, i.e., 0.2879 (for details, make reference to the press release "fulfilment of acceleration condition" published on the 3 rd of April). Please note that, pursuant to the Regulation, all unexercised Warrants within the Mandatory Time Limit shall lose any entitlement and validity, thus becoming null and void to all effects.
