CONCLUSION OF THE SUBSCRIPTION PERIOD OF THE RIGHTS ISSUE

APPROXIMATELY 98.7% OF THE TOTAL NUMBER OF SHARES OFFERED HAVE BEEN SUBSCRIBED, AMOUNTING TO APPROXIMATELY EURO 1,006.7 MILLION AT THE END OF THE SUBSCRIPTION PERIOD

UNEXERCISED RIGHTS TO BE OFFERED ON EURONEXT MILAN ON 23 AND 24 JUNE 2025

Milan – 19 June 2025. Italgas S.p.A. ("Italgas" or the "Company") announces the conclusion, on today's date, of the Subscription Period (as defined below) for Italgas's shareholders of the maximum no. 202,938,478 newly issued ordinary shares of Italgas (the "New Shares") resulting from the rights issue approved by the Extraordinary Shareholders' Meeting of Italgas held on 10 April 2025 the final terms and conditions of which were set by the Board of Directors on 28 May 2025 (the "Rights Issue", and such issued rights, the "Rights").

During the subscription period (the "Subscription Period"), started on 2 June 2025 and ended today, 19 June 2025, no. 801,184,788 Rights for the subscription of no. 200,296,197 New Shares, representing approximately 98.7% of the total New Shares being offered for a total price of Euro 1,006,688,686.12 have been exercised. The majority shareholder CDP Reti S.p.A., in accordance with the subscription commitment undertaken on 22 May 2025 for its portion of the Rights Issue, subscribed no. 52,684,606 New Shares for a total consideration of Euro 264,792,829.76.

The remaining no. 10,569,124 Rights not exercised during the Subscription Period (the "Unexercised Rights"), which entitle to subscribe a maximum number of 2,642,281 New Shares, equal to approximately 1.3% of the total New Shares being offered, for a total price of Euro 13,280,104.31, will be offered by Italgas on the Italian Stock Exchange, pursuant to article 2441, paragraph 3, of the Italian Civil Code, on 23 June 2025 and 24 June 2025 (the "Rights Auction"), unless early closure of the Rights Auction upon the sale of all the Unexercised Rights in the session of 23 June 2025. Banca Akros S.p.A. – Gruppo Banco BPM will coordinate the Rights Auction of the Unexercised Rights that will be offered on Euronext Milan, a regulated market organized and managed by Borsa Italiana S.p.A. ("Euronext Milan"), with ISIN code IT0005651556. All the Unexercised Rights will be offered during the trading session of 23 June 2025, and any remaining Unexercised Rights not placed in such session will be offered during the trading session of 24 June 2025.

The Unexercised Rights entitle to subscribe New Shares, at a price of Euro 5.026 per New Share, according to a ratio of no. 1 New Share for every no. 4 Unexercised Rights purchased.

The exercise of the Unexercised Rights purchased in the Rights Auction and, consequently, the subscription of the New Shares shall be made, under penalty of forfeiture, through the authorised intermediaries participating in the centralised

management system of Monte Titoli S.p.A. (i) by and no later than 24 June 2025, with the same value date, in the event that the Rights Auction closes early following the full sale of the Unexercised Rights in the trading session of 23 June 2025, or (ii) by and no later than 25 June 2025, with the same value date, in the event that the Unexercised Rights are not fully sold in the first trading session and the Rights Auction closes on 24 June 2025. The New Shares subscribed by the end of the Rights Auction will be credited to the accounts of the intermediaries participating in the centralised management system managed by Monte Titoli S.p.A. at the end of the accounting day of the last day of exercise of the Unexercised Rights with availability on the same date.

Furthermore, please note that, as previously communicated by the Company, on 28 May 2025, Italgas has entered into an underwriting agreement (the "Underwriting Agreement") with J.P. Morgan SE (sole structuring advisor), BofA Securities Europe SA, Citigroup Global Markets Europe AG, Morgan Stanley & Co. International plc and Société Générale, as joint global coordinators and joint bookrunners, and Banca Akros S.p.A. – Gruppo Banco BPM, as co-global coordinator and joint bookrunner (together, the "Underwriters"). Under the Underwriting Agreement, the Underwriters have severally (and not jointly and severally) undertaken to subscribe for and pay, under the terms and conditions set forth in the Underwriting Agreement and pro rata to their respective commitments, those New Shares that may remain unsubscribed at the end of the Rights Auction, up to a maximum aggregate amount of Euro 755,175,960.67. This amount corresponds to the difference between the overall amount of the offering and the portion equal to Euro 264,792,829.76 that the majority shareholder CDP Reti S.p.A. undertook to subscribe.

The Registration Document, the Securities Note and the Summary (together, the "Prospectus"), along with the notice containing information on the offering price and additional information related thereto, have been filed with CONSOB and are available on the Company's website (https://www.italgas.it/) as well as at the Company's registered office in Milan, via Carlo Bo no. 11.

Finally, it should be noted that on 20 June 2025, pursuant to Article 89 of the regulation approved with Consob resolution No. 11971 of 14 May 1999, as subsequently amended and supplemented, a notice (Italian version), similar to this press release, will be published in the daily newspaper IlSole24Ore containing an indication of the number of unexercised rights to be offered on the Italian Stock Exchange pursuant to Article 2441, paragraph 3, of the Italian Civil Code and the dates of the trading days in which the offering will take place.
