CALENDARIO EVENTI SOCIETARI ESERCIZIO 2017
Ravenna, 25 gennaio 2017 - Itway SpA rende noto, ai sensi dell'art. 2.6.2 del vigente Regolamento dei Mercati organizzati e gestiti da Borsa Italiana S.p.A., il calendario degli eventi societari:

Ad oggi non sono previste riunioni del CdA per l'approvazione di dati preconsuntivi e non sono state stabilite date per presentazioni di dati contabili agli analisti finanziari.
Eventuali variazioni rispetto alle date sopraindicate, ovvero eventuali riunioni del Consiglio di Amministrazione per l'approvazione di dati preconsuntivi saranno tempestivamente comunicate al mercato.
Il D.lgs. 15 febbraio 2016, n. 25, di attuazione della Direttiva 2013/50/UE recante modifiche alla Direttiva 2004/109/CE, c.d. Direttiva Transparency, ha eliminato l'obbligo per gli emittenti quotati con sede in Italia di pubblicare i resoconti intermedi di gestione e ha attribuito a CONSOB la facoltà di richiedere ai predetti emittenti di pubblicare "informazioni finanziarie periodiche aggiuntive".
CONSOB ha successivamente emanato il nuovo art. 82-ter del Regolamento Emittenti, che consente di proseguire a comunicare al pubblico – esclusivamente su base volontaria – "informazioni finanziarie periodiche aggiuntive" rispetto alla relazione finanziaria annuale e semestrale, ciò in conformità ai principi e criteri applicativi stabiliti dalla norma in questione.
L'art. 2.2.3, comma 3, del Regolamento di Borsa continua tuttavia a prevedere in capo agli emittenti STAR l'obbligo di mettere a disposizione del pubblico il resoconto intermedio di gestione entro 45 giorni dal termine del primo, terzo e quarto trimestre dell'esercizio, fermo restando che i predetti emittenti sono esonerati dalla pubblicazione del quarto resoconto, se mettono a disposizione del pubblico la relazione finanziaria annuale, unitamente agli altri documenti di cui all'art. 154-ter, comma primo, del D.lgs. 24 febbraio 1998 n. 58 ("TUF"), entro 90 giorni dalla chiusura dell'esercizio.
Itway, che, in qualità di emittente negoziato presso il segmento STAR del mercato MTA gestito da Borsa Italiana, è soggetto alla previsione del richiamato art. 2.2.3, comma 3, del Regolamento di Borsa, comunica pertanto che continuerà a mettere a disposizione del pubblico, entro 45 giorni dal termine del primo e del terzo trimestre dell'esercizio 2017, i resoconti intermedi di gestione in conformità a quanto finora avvenuto, facendo in particolare riferimento alle disposizioni del preesistente art. 154-ter, comma 5, del TUF e si conformerà ai principi e criteri applicativi indicati dal nuovo art. 82-ter del Regolamento Emittenti.

CORPORATE EVENTS CALENDAR FOR FISCAL YEAR 2017
Ravenna, 25 h January 2017 - Pursuant to art. 2.6.2 of the Borsa Italiana Regulations, Itway SpA announces the calendar of corporate events:

To date there are no Board of Directors Meetings scheduled for the approval of preliminary data and there are no scheduled dates for analyst presentations.
Changes relating to above-mentioned dates and any Board of Directors Meetings for the approval preliminary data, as well as the dates for analyst presentations, will be disclosed to the market promptly.
Legislative Decree 25 of 15 February 2016, implementing Directive 2013/50/EU amending Directive 2004/109/EC, the so-called "Transparency Directive", has eliminated the requirement for listed issuers based in Italy to publish interim financial reports and has given CONSOB the right to ask issuers to publish interim financial reports and has given CONSOB the right to ask issuers to publish "additional periodic financial information".
CONSOB subsequently released a new art. 82-ter of the Iussers' Regulation, which allows companies – on a voluntary basis – to continue publishing "additional periodic financial information" with respect to their annual and half-year reports, in accordance with the principles and criteria laid down in the Regulation.
However, art. 2.2.3, paragraph 3, of the Stock Exchange Regulations continues to require that STAR issuers publish an interim report within forty-five days from the end of the first, third and fourth quarters of the year, it being understood that such issuers are exempt from publishing a fourth quarterly report, if they are publishing an annual report, together with the other documents referred to in art. 154-ter, first paragraph, of Legislative Decree 58 of 24 February 1998 (known as the Consolidated Financial Act or "CFA"), within ninety days from the end of the year.
As an issuer trading on the STAR segment of the MTA market run by Borsa Italiana, Itway is subject to the aforementioned art. 2.2.3, paragraph 3, of the Stock Exchange Regulations. The Company would therefore like to announce that it will continue to publish quarterly reports within forty-five days from the end of the first and third quarter of 2017, in accordance with what it has done up to now, making reference in particular to the provisions of the pre-existing art. 154-ter, paragraph 5, and that it will comply with the principles and application criteria indicated by the new Article 82-ter of the Issuer' Regulation.
