CONCLUSE LE ATTIVITA' DI DUE DILIGENCE SU ITWAY HELLAS SA E ITWAY TURKYIE LTD CONDOTTE DALLA SOCIETA' COGNOSEC AB.

ITWAY NON HA RICEVUTO IL PAGAMENTO DI 1,5 MILIONI DI EURO DOVUTO DA MATICMIND S.P.A.IN DATA 30 APRILE U.S.

Ravenna, 9 maggio 2018 – Itway SpA ("Itway"), società quotata al segmento Star di Borsa Italiana e attiva nel settore IT, comunica che si sono concluse le attività di Due Diligence legale, finanziaria e tecnologica intraprese da Cognosec AB ("Cognosec") ai sensi dell'accordo di esclusiva comunicato al mercato il 4 aprile u.s. ed avente per oggetto l'acquisizione del 100% delle due controllate, ITWAY HELLAS SA e ITWAY TURKYIE LTD, che distribuiscono in Grecia e in Turchia prodotti e servizi di Cybersecurity, per il prezzo totale di Euro 10 milioni. Le due società target evidenziano un fatturato aggregato 2017 pari a € 26 milioni ed un EBITDA di € 1.9 milioni. Cognosec riporterà le risultanze delle attività di Due Diligence al proprio Consiglio di Amministrazione per l'approvazione.

Tra Itway e Cognosec, pertanto, proseguono nelle trattative volte alla definizione e stipulazione di un binding share purchase agreement ("SPA") per la vendita, a favore di Cognosec, dell'intero capitale sociale di Itway Hellas SA e Itway Turkyie LTD con l'obiettivo di sottoscrivere l'accordo entro il 30 giugno 2018. Ken Lipton Amministratore Delegato di UC Capital, Senior Advisor di Cognosec ab, ha dichiarato: "Sono rimasto profondamente impressionato dalla qualità delle operations sia di Itway Hellas SA che di Itway Turkiye LTD e restiamo tutti in attesa di lavorare insieme e ci auspichiamo per un lungo periodo negli anni a venire".

Itway comunica altresì di non aver ricevuto, alla data del 30 Aprile 2018 il pagamento di € 1,5 milioni dovuto da Maticmind S.p.A.

Ancora nelle more dell'espletamento di talune verifiche contabili avviate da Maticmind all'esito dell'acquisizione del 100% di Business-E S.p.A. ("BE") (società precedentemente controllata da Itway), Maticmind ha omesso il pagamento della tranche di prezzo di Euro 1,5 milioni dovuta ad Itway alla data del 30 aprile 2018, ai sensi del contratto di compravendita di azioni sottoscritto tra Itway e Maticmind ai fini della predetta operazione di cessione di BE. L'operazione – che è stata completata l'8 novembre 2017 – prevede un corrispettivo complessivo di € 12.335.526, in parte da corrispondersi da Maticmind in rate dilazionate fino all'8 novembre 2018. Ad oggi, Maticmind ha corrisposto ad Itway un ammontare pari ad € 7.961.314.

COMPLETION OF DUE DILIGENCE PROGRAM BETWEEN ITWAY AND COGNOSEC AB

ITWAY HAS NOT RECEIVED THE EURO 1.5 MILLION PAYMENT OWED BY MATICMIND S.P.A. ON APRIL 30, 2018

Ravenna, May 9, 2018 – Itway S.p.A. ("Itway"), a company listed in the Star segment of Borsa Italiana and active in the IT industry, announced that the Legal, Financial and Technological Due Diligence exercises undertaken by Cognosec AB ("Cognosec") in 4th April for the acquisition of 100% of the two Itway subsidiaries, ITWAY HELLAS S.A. and ITWAY TURKYIE LTD, operating respectively in Greece and Turkey as a Value Added Distributor of Cybersecurity products and services, is being finalized and prepared for ascension to the board of Cognosec for approval.

The two Itway subsidiaries show an aggregate turnover of € 26 million in 2017 with and EBITDA of €1.9 million. Cognosec AB, listed on the Nasdaq (Nasdaq:COGS, OTCQX-Nasdaq Intl. Designation: CYBNY), is a leading Cyber Security solutions provider that operates in nine countries around the world. The companies have therefore initiated formal activities for the definition of a binding Share Sale and Purchase Agreement with the objective to have it fully executed, as previously stated in 30 June, 2018. Furthermore, ITWAY S.p.A. (Itway) announces that it has not received payment of Euro 1.5 million owed by April 30, 2018 by MATICMIND S.p.A. (Maticmind).

Still pending some accounting checks started by Maticmind at the outcome of the purchase of 100% of Business-E S.p.A. (BE) (a company previously controlled by Itway), Maticmind omitted to pay the Euro 1.5 million tranche owed to Itway on April 30, 2018, pursuant to the sale and purchase agreement signed by Itway and Maticmind for previously mentioned sale transaction of BE. The transaction, which closed on November 8, 2017 – foresaw an overall consideration of € 12,335,526 in part to be paid by Maticmind in deferred installments until November 8, 2018. To date Maticmind has paid Itway a total of €7,961,314.
