COMPLETION OF VERY SUBSTANTIAL DISPOSAL IN RELATION TO THE DISPOSAL OF THE ENTIRE EQUITY INTERESTS IN THE PFM HK BUSINESS

References are made to (i) the announcement of ISP Holdings Limited (the ‘‘Company’’) dated 26 November 2021; (ii) the circular of the Company dated 1 December 2021 (the ‘‘Circular’’); and (iii) the poll results announcement of the Company dated 23 December 2021 in relation to, among others, the Disposal. Capitalised terms used herein shall have the same meanings as those defined in the Circular unless otherwise stated.

The Board is pleased to announce that Completion took place on 10 January 2022 in accordance with the terms of the Sale and Purchase Agreement. Following Completion, the Disposal Group will cease to be subsidiaries of the Company and the financial results and the assets and liabilities of the Disposal Group will no longer be consolidated into the consolidated financial statements of the Group.
