UPDATES ON THE POSSIBLE DISPOSAL OF THE PFM BUSINESS

References are made to the announcements of Synergis Holdings Limited (the “Company”) dated 6 April 2020, 18 May 2020, 4 June 2020 and 8 October 2020 in relation to the possible disposal of the PFM Business (collectively the “Announcements”) and the interim report of the Company for the six months ended 30 June 2021. Capitalised terms used herein shall have the same meanings as those defined in the Announcements, unless otherwise stated.

The Company is now in an advanced stage of discussions with a potential purchaser. Based on the terms currently under discussion, the Possible Disposal, if it proceeds, will likely constitute a very substantial disposal of the Company pursuant to the Listing Rules.

The Board wishes to emphasize that as no binding sale and purchase agreement in relation to the Possible Disposal has been signed by the parties as of the date of this announcement, the Possible Disposal may or may not proceed. Shareholders and potential investors of the Company are urged to exercise caution when dealing in the securities of the Company. Further announcement(s) will be made by the Company as and when necessary.
