PLACING OF NEW SHARES UNDER GENERAL MANDATE EXTENSION OF LONG STOP DATE

Reference is made to the announcement of Synergis Holdings Limited (the “Company”) dated 14 May 2017 (the “Announcement”) in relation to the Placing. Unless otherwise stated, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

As disclosed in the Announcement, the completion of the Placing is conditional upon the satisfaction of the conditions by no later than 14 days (or such later date as may be agreed between the Placing Agents and the Company in writing) after the date of the Placing Agreement (i.e. 26 May 2017)(the “Long Stop Date”). The board of directors of the Company (the “Board”) announces that after arm’s length negotiation, as additional time is required for the fulfillment of certain conditions under the Placing Agreement, the Company and the Placing Agents entered into a side letter to the Placing Agreement on 26 May 2017 to extend the Long Stop Date from 26 May 2017 to 9 June 2017 (or such later date as may be agreed between the Company and the Placing Agents in writing). Save as the aforesaid extension of the Long Stop Date, all other terms of the Placing Agreement shall remain unchanged and continue in full force and effect.
