APPOINTMENT OF MANAGING DIRECTOR FOR PROPERTY AND FACILITY MANAGEMENT

The board of directors (the “Board”) of Synergis Holdings Limited (the “Company”, together with its subsidiaries, collectively, the “Group”) is pleased to announce that with effect from 24 June 2019, Ms. Hui Suk Man (“Ms. Hui”) has been appointed as the Managing Director (the “Managing Director”) for the property and facility management (the “PFM”) of the Group (the “Appointment”) and immediately after the Appointment, she has ceased to be the Acting Managing Director for PFM.

Ms. Hui, aged 43, is an Executive Director, the Deputy Chairman of the Company and the Finance Director of the Group. She is also a member of the Executive Committee and a director of certain subsidiaries of the Company.

Ms. Hui is responsible for strategic planning and implementation, business development, monitoring operation of the PFM and supervising corporate services teams to improve the operational efficiency of the Group. She is also in charge of the finance and accounting operations, budgetary and financial control, and treasury management of the Group. Ms. Hui assists the Board in overseeing merger and acquisition projects implemented by the Group. She is a Certified Public Accountant in Hong Kong and has over 20 years of experience in corporate accounting, financing and taxation. Ms. Hui joined the Group in 2006 and prior to that, she got solid experience in both audit and accounting field. She is also responsible for the company secretarial practice of the Group and is the primary corporate contact person of company secretarial function for the Company. Ms. Hui holds a Master’s Degree of Business Administration from Hong Kong Baptist University. She is a fellow member of The Association of Chartered Certified Accountants and Hong Kong Institute of Certified Public Accountants.

On 24 April 2019, Ms. Hui has entered into a service agreement with the Company for a term of three years, pursuant to which she is entitled to receive an annual Director’s fee of HK$150,000, an annual remuneration of HK$1,680,000 for her position of Acting Managing Director and a management bonus commensurate with her performance which is subject to the discretion of the Board. Ms. Hui will not receive additional remuneration for performing the role of Managing Director for the PFM. The remuneration package of the Directors and senior management is determined with reference to their duties and responsibilities in the Company, the Company’s remuneration policy and the prevailing market conditions (subject to review by the Board from time to time).

As at the date of this announcement, Ms. Hui does not have any interest in shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Save as disclosed above, as at the date of this announcement, Ms. Hui (a) does not hold any other position with the Group; (b) has not held any directorship in any other public companies, the shares of which are listed on any securities market in Hong Kong or overseas in the last three years; (c) does not have any relationship with any Directors, senior management or substantial or controlling shareholders of the Company; (d) there is no information that needs to be disclosed pursuant to Rules 13.51(2)(h) to (v) of the Listing Rules; and (e) there are no other matters that need to be brought to the attention of the shareholders of the Company in relation to the Appointment.

The Board would like to express its warmest welcome to Ms. Hui for taking up the position of the Managing Director for the PFM.
