RETIREMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR

The board of directors (the “Board”) of Synergis Holdings Limited (the “Company”) announces the retirement of Mr. Kan Fook Yee (“Mr. Kan”) as an Independent Non-executive Director.

Mr. Kan is subject to retirement by rotation at the coming 2018 Annual General Meeting (“AGM”) of the Company to be held on 18 May 2018. Recently, Mr. Kan has informed the Company that he will not be standing for re-election at the 2018 AGM and will therefore retire at the conclusion of the 2018 AGM. Following the retirement of Mr. Kan, he also ceased to be the Chairman of the Nomination Committee, and a member of each of the Remuneration Committee and the Audit Committee.

Mr. Kan has been an Independent Non-executive Director since 2008. After having served on the Board for more than 9 years, Mr. Kan has decided to retire as a Director in May 2018 as he would like to devote more time for other personal pursuits.

Mr. Kan has confirmed that he has no disagreement with the Board and that he is not aware of any matter in relation to his retirement that needs to be brought to the attention of the shareholders of the Company.

The Board would like to express its sincere gratitude to Mr. Kan for his dedicated service and valuable contributions to the Company during his terms of service.

As at the date of this announcement, the Board comprises Mr. Kingston Chu Chun Ho (Chairman), and Mr. Terence Leung Siu Cheong (Deputy Chairman and Managing Director) as Executive Directors; and Mr. Kan Fook Yee, Mr. Lau Man Tak, Mr. Eric Lee Hon Man and Dr. Wong Yun Kuen as Independent Non-executive Directors.
