CHANGE OF COMPANY NAME, CHINESE STOCK SHORT NAME, AND COMPANY LOGO

CHANGE OF COMPANY NAME

The Board is pleased to announce that the adoption of Chinese name “昇捷控股有限公司” as the secondary name of the Company to replace the previous Chinese name “新昌管理集 團有限公司” (which was previously used for identification purposes only) took effect on 25 May 2017. The Certificate of Registration of Alteration of Name of Registered Non-Hong Kong Company was issued by the Registrar of Companies in Hong Kong on 18 July 2017 confirming the registration of the new Chinese name of the Company in Hong Kong under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong).

EFFECTS OF THE CHANGE OF COMPANY NAME

The Chinese stock short name of the Shares for trading on the Stock Exchange will be changed from “新昌管理集團” to “昇捷控股” with effect from 9:00 a.m. on 1 August 2017. The English stock short name of the Shares for trading on the Stock Exchange remains unchanged as “SYNERGIS HOLD”. The stock code of the Company on the Stock Exchange remains unchanged as “02340”. The domain name of the Company’s website remains as “www.synergis.com.hk”.

CHANGE OF COMPANY LOGO

With effect from 1 August 2017, the logo of the Company will be changed to to reflect the change of the name of the Company.

Reference is made to the announcement of Synergis Holdings Limited (the “Company”) dated 9 March 2017, the circular of the Company dated 18 April 2017 (the “Circular”) and the announcement of the Company dated 19 May 2017 in relation to the poll results of the AGM held on 19 May 2017 in relation to, among other things, the Change of Company Name. Unless otherwise stated, capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.

CHANGE OF COMPANY NAME

The Board is pleased to announce that subsequent to the passing of a special resolution approving the Change of Company Name by the Shareholders at the AGM held on 19 May 2017, the Certificate of Secondary Name was issued by the Registrar of Companies in Bermuda on 4 July 2017, certifying that “昇捷控股有限公司” was registered as the secondary name of the Company on 25 May 2017. The Certificate of Registration of Alteration of Name of Registered Non-Hong Kong Company was issued by the Registrar of Companies in Hong Kong on 18 July 2017, confirming the registration of the new Chinese name of the Company in Hong Kong under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong).

EFFECTS OF THE CHANGE OF COMPANY NAME

The Change of Company Name will not affect any rights of the Shareholders or the Company’s daily business operation. All existing share certificates of the Company in issue bearing the previous Chinese name of the Company will continue to be good evidence of legal title to such shares of the Company and will remain valid for trading, settlement, registration and delivery purposes. There will not be any arrangement for the exchange of the existing share certificates for new share certificates bearing the new Chinese name of the Company. With effect from 1 August 2017, new share certificates will be issued in the new Chinese name of the Company.
