(3) RE-DESIGNATION FROM CHIEF OPERATION OFFICER TO MANAGING DIRECTOR FOR THE PROPERTY AND FACILITY MANAGEMENT BUSINESS

RESIGNATION OF EXECUTIVE DIRECTOR AND MANAGING DIRECTOR

The board of directors (the “Board”) of Synergis Holdings Limited (the “Company”, together with its subsidiaries, the “Group”) announces that Ms. Brenda Yau Shuk Mee (“Ms. Yau”) has tendered her resignation as an Executive Director and the Managing Director with effect from 29 June 2016 as she would like to pursue her other business and personal interests. She will also cease to be a member of Executive Committee with effect from 29 June 2016.

Ms. Yau has confirmed that she has no disagreement with the Board and there is nothing relating to her resignation that needs to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited (the “Stock Exchange”).

The Board would like to take this opportunity to express its appreciation to Ms. Yau for her valuable contributions to the Company during her term of service.

CHANGE OF AGENT FOR SERVICE OF PROCESS IN HONG KONG

The Board further announces that Ms. Yau ceased to act as the agent for service of process in Hong Kong on behalf of the Company (the “Process Agent”) and Mr. Terence Leung Siu Cheong will be appointed as the Process Agent with effect from 29 June 2016.

RE-DESIGNATION FROM CHIEF OPERATION OFFICER TO MANAGING DIRECTOR FOR THE PROPERTY AND FACILITY MANAGEMENT BUSINESS

The Board further announces that Mr. Yeung Wai Ling (“Mr. Yeung”) will be re-designated from Chief Operation Officer to Managing Director for the property and facility management business of the Company with effect from 29 June 2016 after the departure of Ms. Yau.

Mr. Yeung joined the Group as Chief Operation Officer of the Company on 5 April 2016 with a major focus on managing the property and facility management business. He assists in planning, developing and implementing strategies to achieve business goals and objectives, and oversees daily operations of the property and facility management business.

Mr. Yeung has over 30 years of senior management experience in both Hong Kong and the Mainland China. He held senior positions in a number of Hong Kong companies listed on the main board of the Stock Exchange.

Mr. Yeung holds a Bachelor’s degree in Social Sciences from the University of Hong Kong and a Master’s degree in Business Administration from the Chinese University of Hong Kong. He is also a member of Royal Institute of Chartered Surveyors.

The Board would like to express its congratulations to Mr. Yeung on his re-designation.
