NOTICE is hereby given that in view of the continuing Covid-19 pandemic and in accordance with the May 5, 2020 Circular No. 02/2022 read with Circular no 2022/02 dated May 05, 2022, with Circular No. 14 dated April 8, 2020 and Circular No. 17 dated April 13, 2020 and Circular no. 02/2021 dated January 13, 2021 in relation to "Clarification on holding of annual general meeting (AGM) through video conferencing (VC) or other audio visual means (OAVM)" (hereinafter collectively referred to as "MCA Circulars") issued by Ministry of Corporate Affairs ("MCA") for holding of Annual General Meeting through VC or OAVM, the Eighteenth (18th) Annual General Meeting (AGM) of the Members of Amrapali Fincap Limited be held on Friday, September 23, 2022 at 04:00 P.M. through Video Conferencing ("VC") / Other Audio Visual Means ("OAVM") to transact the Ordinary Businesses and Special Businesses as set out in the notice of 18thAGM.

In accordance with the General Circular No. 02/2022 dated May 05, 2022 read with General Circular No. 14/2020 dated April 8, 2020, General Circular No. 17/2020 dated April 13, 2020 and General Circular No. 02/2021 dated January 13, 2021, issued by the Ministry of Corporate Affairs and Circular No. SEBI/HO/CFD/CMD1/CIR/P/2020/79 dated May 12, 2020 and Circular No. SEBI/HO/CFD/CMD2/CIR/P/2022/62 dated May 13, 2022 issued by the Securities Exchange Board of India (SEBI)the Notice of AGM along with Annual Report 2021-22 have been sent through electronic mode only to those Members whose email addresses are registered with the Company/ Depositories. Member may note that Notice and Annual Report 2021-22 have been uploaded on the website of the Company at www.amrapali.co.in, website of Bombay Stock Exchange of India Limited at www.bseindia.com and website of National Securities Depository Limited (NSDL)i.e. www.evoting.nsdl.com

In light of the MCA Circulars, the shareholders whether holding equity shares in demat form or physical form and who have not submitted their email addresses and in consequence to whom the notice of 18thAGM and Annual Report 2021-22 could not be serviced, may temporarily get their e-mail addresses registered by following the procedure given below:

1. In case shares are held in physical mode, please provide Folio No., Name of shareholder, scanned copy of the share certificate (front and back), PAN (self-attested scanned copy of PAN card), AADHAR (self-attested scanned copy of Aadhar Card) by email to investors@amrapali.co.in

In case shares are held in demat mode, please provide DPID-CLID (16 digit DPID + CLID or 16 digit beneficiary ID), Name, client master or copy of Consolidated Account statement, PAN (self-attested scanned copy of PAN card), AADHAR (self-attested scanned copy of Aadhar Card) to investors@amrapali.co.in.

1. Alternatively member may send an e-mail request to evoting@nsdl.co.in for obtaining User ID and Password by proving the details mentioned in Point (1) or (2) as the case may be.

Post successful registration of the e-mail address, the shareholder would get soft copies of notice of 18thand Annual Report 2021-22 and the procedure for e-voting along with the userid and the password to enable e-voting for 18thAGM. There being physical shareholders in the Company, the Register of members and share transfer books of the Company will be closed from Saturday September 17, 2022 to Friday September 23, 2022. Members whose names are recorded in the Register of Members or in the Register of Beneficial Owners maintained by the Depositories as on Friday, September 16, 2022 ("Cutoff date"), shall only be entitled to avail the facility of remote e-voting as well as e-voting on the Annual General Meeting.

Pursuant to the provisions of Section 108 of the Companies Act, 2013 read with Rules made thereunder (as amended) and Regulation 44 of SEBI (LODR) Regulations, 2015 (as amended) and above mentioned MCA Circulars, the Company is providing facility of remote e-voting and e-voting on the date of the AGM to its Members in respect of the businesses to be transacted at the AGM. For this purpose, the Company has entered into an agreement with NSDL for facilitating voting through electronic means.

The remote e-voting will commence on 9:00 A.M. on Tuesday, September 20, 2022 and will end on 5:00 P.M. on Thursday, September 22, 2022. During this period, the members of the Company holding shares as on Cut-off date may cast their vote electronically (Remote E- Voting). Members may note that a) the remote e-voting module shall be disabled by NSDL after the aforesaid date and time for voting and once the vote on a resolution is cast by the member, the member shall not be allowed to change it subsequently; b) the facility of e-voting shall be made available at the 18th AGM; and c) the members who have cast their vote by remote e-voting prior to the 18thAGM may also attend the 18thAGM but shall not be entitled to cast their vote again. Detailed procedure for remote e-voting/ e-voting is provided in the Notice of the 18thAnnual General Meeting.

Any person, who acquires shares of the Company and become member of the Company after dispatch of the Notice of AGM and holding shares as on the cut-off date i.e. Friday, September 16, 2022, are requested to refer to the Notice of AGM for the process to be adopted for obtaining the USER ID and Password for casting the vote.
