On October 17, 2013, Iron Mountain Information Management, LLC (“IMIM”), a wholly-owned subsidiary of Iron Mountain Incorporated, acquired Cornerstone Records Management, LLC and its affiliates (collectively, “Cornerstone”), a national, full-solution records and information-management company, for approximately $191 million in cash, subject to customary post-closing adjustments pursuant to an Agreement and Plan of Merger by and among Cornerstone, IMIM and the other parties thereto (the “Agreement”). The Agreement provides for customary representations, warranties and indemnification obligations.
