Sub: Appointment of Shri Sudhir Singh as Director (Projects) of IRCON

Dear Sir/ Madam,

Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 [“SEBI (LODR) Regulations”] and in continuation of our letter of even no. dated 31[st] December, 2025, it is hereby informed that pursuant to Order no. 2021/E(O)II/40/21 dated 31[st] December, 2025 of Ministry of Railways, Shri Sudhir Singh, IRSE, ED/CE(BS), Railway Board [DIN:11288339] has been entrusted with the additional charge as Director (Projects) of IRCON. Accordingly, the Board of Directors of the Company has approved his appointment as Director (Projects), IRCON and he has assumed the additional charge of Director (Projects) w.e.f. 2[nd] January, 2026, in addition to his own, until further orders.

In compliance with Securities and Exchange Board India (“SEBI”) letter dated June 14, 2018 and circular LIST/COMP/14/2018-19 of BSE Limited (“BSE”) dated June 20, 2018 and circular NSE/CML/2018/24 of National Stock Exchange of India Limited (“NSE”) dated June 20, 2018 each, and as per the confirmation received from Shri Sudhir Singh, this is to confirm that he has not been debarred from holding the office of director by virtue of any SEBI order or any other such authority.

The requisite details pursuant to Regulation 30 of the SEBI (LODR) Regulations read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11[th] November, 2024, are enclosed as Annexure.

3. Brief profile (in case of appointment) Shri Sudhir Singh, BE (Civil Engineering) from
University of Roorkee (now IIT Roorkee) 1998,
joined Indian Railways in September 2000 and
is having more than 26 years of distinguished
experience. He has contributed to several
landmark projects including the Udhampur–
Srinagar–Baramulla Rail Link (USBRL) Project
(Infrastructure Project); commissioning of Anand
Vihar Terminal. He has held key positions as
Senior Divisional Engineer/Coordinator, where
he oversaw critical operational and engineering
functions. He has also worked in RDSO and
associated with Vendor Development and
Quality Assurance of critical back components,
worked in construction organizations and
associated with doubling projects. He has also
worked in Rail Land Development Authority and
associated with station re-development projects,
asset monetization and commissioning of the
Gomti Nagar Station Development Project
(Phase-1). Shri Singh’s career reflects a blend of
technical expertise, project leadership, and
strategic contributions to the modernization and
capacity enhancement of Indian Railways.
4. Disclosure of relationships between Shri Sudhir Singh is not related to any other
directors (in case of appointment of Director of the Company.
