Subject: Update regarding Rights Issue of IRB Infrastructure Trust

Further to our letter dated March 15, 2024, we hereby inform you that MMK Toll Road Private Limited, the investment manager of the IRB Infrastructure Trust (“the Trust”) – Associate of the Company, on behalf of the Trust, has issued and allotted 9,20,00,000 Units of the Trust to the eligible unitholders of the Trust for cash at an Issue price of Rs. 244.8586956 per unit, aggregating to Rs. 22,527 million. The Company being the Sponsor has been allotted 4,70,00,000 Units of the Trust while GIC Affiliates have been allotted 4,50,00,000 Units. Post the rights issue, the Company holds approximately 51% units and GIC affiliates hold approximately 49% units in the Trust.
