Subject: Update regarding Rights Issue of IRB Infrastructure Trust

Dear Sir / Madam,

Further to our intimations dated December 16, 2024, we hereby inform you that MMK Toll Road Private Limited, the investment manager of the IRB Infrastructure Trust (“the Trust”) – Associate of the Company, on behalf of the Trust, has issued and allotted 5,84,00,000 Units of the Trust to the eligible unitholders of the Trust for cash at an Issue price of Rs. 293.6511986 per unit, aggregating to Rs. 17,149.23 million. The Company, being the Sponsor of the Trust, has been allotted 2,98,00,000 Units of the Trust while Other Unitholder/s have been allotted 2,86,00,000 Units. Post rights issue, the Sponsor continues to hold approximately 51% of units in the Trust.
