Further to our intimations dated December 14, 2024 and December 16, 2024, pursuant to applicable provisions of the SEBI (Infrastructure Investment Trusts) Regulations, 2014 read with circulars and guidelines issued thereunder from time to time (“SEBI InvIT Regulations”), a letter of offer dated December 16, 2024 (the “LOF”) in connection with the issue of up to 5,84,00,000 units (the “Units”) representing an undivided beneficial interest in IRB Infrastructure Trust (the “Trust”) at a price of Rs. 293.6511986* per Unit (the “Issue Price”) aggregating up to Rs. 17149.23 million on a rights basis to Eligible Unitholders of the Trust in the ratio of 1 Unit for every 19.0700901541096* Units held by them on the Record Date (the “Issue”), has been filed with the Securities and Exchange Board of India (the “SEBI”) and the National Stock Exchange of India Limited (the “NSE”) on December 16, 2024.

*For presentation purpose only, the Issue Price will be presented as rounded-off to two decimal places, i.e., Rs. 293. 65 per unit & the Rights Entitlement Ratio will be presented as rounded-off to two decimal places, i.e., 1 unit for every 19.07 units held.

Further pursuant to the Chapter 9 of the Master Circular, the LOF is available on the website of the Trust at www.irbinfratrust.co.in and Vivro Financial Services Private Limited (the Lead Manager to the Issue) at www.vivro.net and will be available on the websites of the relevant authorities.
