Subject: Update regarding IRB Infrastructure Trust

Dear Sir/Madam,

Please note that the Company has sponsored an unlisted infrastructure investment trust, IRB Infrastructure Trust (the “ Trust ”). Pursuant to decisions taken at a board meeting of the Securities and Exchange Board of India (“ SEBI ”) on September 30, 2022, the framework for unlisted infrastructure investment trusts was discontinued and the SEBI advised the Trust to list within certain timelines. Accordingly, the Management, Administration and Share Transfer Committee (“ MAS Committee ”) of the Company, at its meeting held on March 21, 2023, approved the listing of the units of the Trust, subject to the approval of the board of directors of the investment manager of the Trust.

The units of the Trust are proposed to be listed on the National Stock Exchange of India Limited. Please note that upon listing, the Company will continue to hold 51% of the units of the Trust and the Trust will continue to be an associate/ joint venture of the Company. GIC Affiliates will continue to hold 49% of the units of the Trust.
