Sub: Update –Award of Hyderabad Outer Ring Road Project

We are pleased to inform that IRB has emerged as the Selected Bidder for the project of Tolling, Operation, Maintenance & Transfer (TOT) of Nehru Outer Ring Road (from Km 0+000 to Km 158+000) in Hyderabad, Telangana (“the Project”) and has received Letter of Award (LOA) dated 27[th] April, 2023 from Hyderabad Metropolitan Development Authority (HMDA).

Key Highlights of the Project are as under:

Projectdescription&Length	The 8 lane divided carriageway with paved shoulder & 2 lane service road alongthe Project Road, starting at Km 0+000 at Narsingi Junction and ending at Km158+010 at Gachibowli in Hyderabad, in the state of Telangana. The total lengthof the Project Road is 158 km.The Project will have 22 toll plaza, 22 interchanges, 8 major bridges, 122 minorbridges, a flyover, 4 railway over bridges, 168 underpasses, large number ofculverts & causeways. Total service road length is ~ 294 kms.The Project has close loop tolling.
Concession Feefor the Project	IRB to pay upfront Concession Fee ofRs. 7,380 croresto HMDA for revenue-linked Concession Period of 30 years.
ConcessionPeriod & Tolling	Annual Tariff revision - Fixed 3% p.a. (compounded annually) plus 40% ofWholesale Price Index (WPI) as per NORR User Fee Rules, 2012.Tolling and O&M activity will commence from the Appointed Date.IRB endeavours to implement this Project through its Associate viz. IRBInfrastructure Trust.
AccretiontoO&MOrderbook	IRB’s O&M order book will increase by approx. Rs. 14,500 Crores, providingstrong long-term visibility to the company.

Mumbai, April 27, 2023: Marking its entry in the State of Telangana, IRB Infrastructure Developers Ltd. (IRB), India’s leading and the largest integrated multi-national highways infrastructure developer has been awarded 158 Kms (1,264 Lane Kms) Hyderabad Outer Ring Road (ORR) project under Toll-Operate-Transfer (TOT) model with revenue linked Concession Period of 30 Years for upfront consideration of Rs. 7,380 Crores.

Commenting on the development, Mr. Virendra D. Mhaiskar, Chairman & Managing Director, IRB Infrastructure Developers Ltd., said, “Proud to add this prestigious project to our portfolio, taking our asset base to over Rs.70,000 Crores and share in TOT space to 37%, the largest by any private player in India.” He added, “We express our sincere gratitude towards all authorities and stakeholders. We endeavor to execute this project through our Pvt InvIT platform.”

The Hyderabad Metropolitan Development Authority (HMDA) had invited global competitive bids for the project; in which the Company had participated and emerged as the selected bidder.

After signing the concession agreement, the project SPV will be making the payment of Rs. 7,380 Crores within a span of 120 days.

The Hyderabad Outer Ring Road (ORR) is a 158 Kilometers, 8 lanes ring road expressway encircling Hyderabad, Capital City of Telangana State. Opened up in December 2012, the large part of around 124 Kms of ORR covers urban nodes like Hi-Tech City, Nanakramguda Financial District, International Airport, IKP Knowledge Park, Hardware Park, Telangana State Police Academy, Singapore Financial District and Game Village.
