IP Group plc - Offer Update and Result of General Meeting

1.    Introduction

IP Group plc (LSE: IPO) (the "Company"), the developer of intellectual property-based businesses, issues the following statement following its General Meeting which took place at 11.00am today relating to the offer for Touchstone Innovations plc, the improved terms of which were announced on 18 July 2017 (the "Offer").

2.     Offer Update

The Company is pleased to announce that it has recently received the requisite approval from the Financial Conduct Authority and this condition of the Offer has been satisfied.

3.         Result of General Meeting

The Resolutions contained in the Notice of General Meeting set out in the Circular dated 18 July 2017 were duly passed. The result of the poll in relation to the resolution to approve the acquisition of the issued and to be issued ordinary shares in Touchstone Innovations plc was as follows:
