CLEANSING NOTICE
Section 708A(5)(e) – Corporations Act 2001 (Cth)
ION Video Ltd ACN 149 796 332 (Company)
- Issue of Shares on Conversion of Convertible Notes
The Company gives this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Act).
The Company has today issued 30,482,542 fully paid ordinary shares (Shares) following the conversion of 2,650,000 convertible notes (Notes).
The Notes were originally issued without disclosure to investors under Part 6D.2 of the Act in reliance on section 708 of the Act.
The Shares rank equally in all respects with the Company's existing fully paid ordinary shares.
- Notice under Section 708A(5)(e)
The Company hereby notifies ASX and ASIC under section 708A(5)(e) of the Act that:
a) the Shares were issued without disclosure under Part 6D.2 of the Act;
b) this notice is being given under section 708A(5)(e) of the Act;
c) as at the date of this notice, the Company has complied with:
- the provisions of Chapter 2M of the Act as they apply to the Company; and
-
section 674 of the Act;
d) as at the date of this notice, there is no information that is “excluded information” within the meaning of sections 708A(7) and 708A(8) of the Act which is required to be set out in this notice. -
Effect of Notice
The effect of this notice is that the Shares may be offered for sale within 12 months of their issue without disclosure under Part 6D.2 of the Act.
