The Board of the management company UAB INVL Asset Management (hereinafter – “the Management Company”) of the special closed-ended type real estate investment company INVL Baltic Real Estate (hereinafter – “Company”), taking into consideration the Clauses 102 and 103 of the Company's Articles of Association and the desire to properly inform the Company's shareholders about the planned changes in the Company's activities and evaluating the proposals of the Company's Investment Committee submitted to the Company's General Meeting of Shareholders dated on 14 January 2021, informs that:
- Amendments to the Company's founding documents related to the rule for determining the Performance Fee paid to the Management Company for the quality and successful management of the Company are considered as material, considering the recommendation of the Bank of Lithuania.
- This amendment to the Company's Articles of Association is made to ensure that the rules for calculating and paying the Performance Fee paid by the Company comply with good international practice and include all amounts actually paid to the Company's shareholders or paid to the Company.
- Proposed to the Company's shareholders to approve the submitted resolutions at the Company's General Meeting of Shareholders dated 14 January 2021.
