NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT

On 28 March 2011, CBio Limited (ASX: CBZ) issued 335,776 fully paid ordinary shares.

CBio hereby gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the "Corporations Act”) that:

1. the abovementioned ordinary shares were issued without disclosure under Part 6D.2 of the Corporations Act; 2. as at 28 March 2011, CBio has complied with:

   • a. the provisions of Chapter 2M of the Corporations Act as they apply to CBio; and

   • b. section 674 of the Corporations Act; and

2. as at 28 March 2011, there is no excluded information (as defined in subsection 708A(7) of the Corporations Act which is required to be disclosed in accordance with sections 708A(6) and 708A(8) of the Corporations Act.
