INVION LIMITED $2.5 MILLION UNDERWRITTEN ENTITLEMENT OFFER COMPLETED TOP-UP FACILITY SCALED-BACK DUE TO EXCESS DEMAND
Brisbane, Australia and Delaware, United States, 13 March 2018 : On 12 February 2018, Invion Limited (ASX: IVX) announced an 8 for 27, fully underwritten, non-renounceable Entitlement Offer for ordinary shares at an offer price of $0.002 (Entitlement Offer) to raise approximately $2.5 million.
The Entitlement Offer formed part of the strategic transaction with The Cho Group announced on 31 August 2017 and approved by Invion shareholders at the AGM held 30 November 2017.
Invion is today pleased to announce that the Entitlement Offer is completed, with demand for entitlement shares and additional top-up shares exceeding the 1,246,213,717 shares available under the Entitlement Offer. Invion received valid applications from eligible shareholders for approximately 1.13 billion shares, representing a take up by eligible shareholders of approximately 92.69%. Invion further received valid applications under the top-up facility for approximately 1.30 billion shares.
Due to the excess demand, a pro-rata scale-back of applications for additional shares under the top-up facility will be implemented. Investors are advised that they may not receive the full amount of additional shares applied for under the top-up facility.
The allotment of new shares is scheduled to take place on Thursday, 15 March 2018, and ASX trading of the new shares is expected to commence on Friday, 16 March 2018.
Managing Director and Chief Executive Officer, Dr Greg Collier, said:
“The Board is very pleased with the response to the Entitlement Offer, and in particular the response by existing shareholders to take up additional new shares over and above entitlements under the offer.”
The Entitlement Offer was fully underwritten by The Cho Group Limited. As the Entitlement Offer was over-subscribed, no new shares will be issued to The Cho Group Limited, other than in its capacity as a shareholder.
