Notice under section 708A(5)(e) Corporations Act

Invion Limited (ASX Code: IVX)

Reference is made to the Appendix 3B released today to the ASX relating to Invion Limited ( Company ) agreement to issue shares via private placement by to a professional investor.

Invion has issued the shares without disclosure to the investor under section 708A(5) Corporations Act 2001 (Cth) ( Corporations Act ).

Details of the securities to be issued

Class of securities: Fully paid ordinary shares ASX Code of the securities: IVX Total number of securities issued: 185,560,667 Date of the issue or expected issue of the securities: 8 June 2017

For the purposes of section 708A(6) of the Corporations Act 2001 (Cth) ( Corporations Act ), the Company confirms that:

• (a) the Company will issue the Shares without disclosure to investors under part 6D.2 of the Corporations Act;

• (b) this notice is given under section 708A(5)(e) of the Corporations Act;

• (c) as at the date of this notice the Company has complied with the provisions of Chapter 2M of the Corporations Act as they apply to the Company and section 674 of the Corporations Act; and

• (d) as at the date of this notice there is no information which is “excluded information” (as defined in section 708A(7) of the Corporations Act) which is required to be disclosed by the Company.
