Notice under section 708A Corporations Act

Invion Limited (ASX Code: IVX)

Reference is made to the Appendix 3B released today to the ASX relating to the private placement by Invion Limited ( Company ) to sophisticated and professional investors.

Invion has issued the shares without disclosure to investors in accordance with section 708 of the Corporations Act 2001 (Cth) ( Corporations Act ).

Details of the securities issued

Class of securities: Ordinary shares ASX Code of the securities: IVX Date of the issue or expected issue of the securities: 10 December 2015 Total number of securities issued or expected to be issued: 71,534,244

For the purposes of section 708A(5)(e) of the Corporations Act, the Company confirms that:

• (a) the Company issued the Shares without disclosure to investors under part 6D.2 of the Corporations Act;

• (b) as at the date of this notice the Company has complied with the provisions of Chapter 2M of the Corporations Act as they apply to the Company and section 674 of the Corporations Act; and

• (c) as at the date of this notice there is no information which is “excluded information” (as defined in section 708A(7) of the Corporations Act) which is required to be disclosed by the Company.
