Section 708A Notice – Issue of Invion Limited securities without disclosure

Invion Limited (ABN 76 094 730 417) gives notice under section 708A(5)(e) of Corporations Act 2001 (Cth) (Act) that:

1. as detailed in the Appendix 3B dated 21 November 2014, and pursuant to the Share Purchase and Convertible Security Agreement (SPCSA) with The Australian Special Opportunity Fund announced 10 November 2014, the Company has issued the following securities:

   • a. 4,663,894 Shares;

   • b. 3,500,000 Share Options; and

   • c. One (1) Convertible Security that would convert to 18,275,862 Shares if converted at the $0.058 being the market price of shares on 10 November 2014

2. these securities have been issued without disclosure to the recipients under Part 6D.2 of the Act;

3. as at the date of this notice, the company has complied with the provisions of Chapter 2M as they apply to the company and section 674 of the Act; and

4. as at the date of this notice, there is no information that is ‘excluded information’ (within the meaning of sections 708A(7) and 708A(8) of the Act).
