NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT

On 15 June 2010, CBio Limited (ASX: CBZ) issued 777,778 fully paid ordinary shares pursuant to a Convertible Loan Agreement with Spring Tree Special Opportunities Fund, LP, details of which were announced to the market on 17 May 2010.

CBio hereby gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the "Corporations Act”) that:

1. the abovementioned ordinary shares were issued without disclosure under Part 6D.2 of the Corporations Act;

2. as at 15 June 2010, CBio has complied with:

   • a. the provisions of Chapter 2M of the Corporations Act as they apply to CBio; and

   • b. section 674 of the Corporations Act; and

3. as at 15 June 2010, there is no excluded information (as defined in subsection 708A(7) of the Corporations Act which is required to be disclosed in accordance with sections 708A(6) and 708A(8) of the Corporations Act.
