Completion of Share Sale Agreement and Share Subscription Agreement

Sunbird Energy Ltd ("Company") hereby confirms that completion has now occurred under the share subscription agreement between Tsimpilo Trading 102 (Proprietary) Limited, Umbono Capital Partners (Proprietary) Limited, Pretzavest 37 (Proprietary) Limited ("Pretzavest") and the Company dated 12 August 2011, and that the Company is now the legal and beneficial owner of 74% of the issued capital of Pretzavest.

The Company also confirms that completion has now occurred under the share sale agreement between Salt Mineral Investments Limited, Greatways Holdings (BVI) Limited ("Greatways Holdings"), Greatways Properties (Proprietary) Limited and the Company dated 20 August 2011, and that the Company is now the legal and beneficial owner of 100% of the issued capital of Greatways Holdings.

Finally, the Company also confirms that the correct expiry date for Botswana prospecting licenses 028/2010, 029/2010 and 030/2010 is 31 December 2012.
