Acquisition of YourShare Online Financial Business (‘YourShare’)

Australasian Wealth Investments Limited [ASX Code: AWK] has completed due diligence and executed share sale agreements to buy YourShare, an online financial services business, for a cash consideration of $10.5 million on completion on 13 December plus an additional $2 million of cash, subject to YourShare’s NTA being greater than an agreed minimum, following completion of acquisition accounts.

YourShare is an online financial services portal in Australia, similar to the InvestSmart business, providing self-directed investors with low cost access to financial information and products. The business has revenues of $5.2 million, funds under administration (FUA) of $915 million with over 16,000 invested clients. It has offices in Mittagong, NSW, which AWK intends to maintain, with approximately 14 staff.

AWK now owns two of the largest online self-directed financial services portals in Australia with combined FUA of c$1.6 billion over 40,000 invested clients and more than 300,000 subscribers to its website, in addition, to an undiluted 49.6% share of van Eyk Research, which has c$1.2 billion in FUM.

AWK expects to use cash currently in its bank account to settle the acquisition. Due diligence has not altered our expectation of annualised EBIT for FY2014 being as previously disclosed. AWK expects to provide earnings guidance for the group after the 2013/2014 half year results.
