MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS OF INTRAWARE INVESTMENTS PUBLIC LTD, Reg. No. HE 292020

Mrs. Myrianthi Petrou acted as or was elected chairman of the meeting. The Chairwoman confirmed that due notice of the meeting was given to the directors of the Company and that the quorum requirements in accordance with the provisions the Company's Articles of Association were met and declared the meeting open.

At the abovementioned Meeting of the Board of Directors took the decision to increase the share capital of the Company through the issuance of new ordinary shares of nominal value €1.00 each by the procedure of a pre-emption rights issue. The terms of the issue shall be as follows:

The Company issues rights (the "Rights") on a pre-emptive basis to all the registered shareholders of the Company as they will appear in the Register of Members of the Company, as at the record date which will be determined by the Board of Directors, for the raising of an amount of up to £ 960.000 and such Rights shall be issued and allocated to registered shareholders gratis at a ratio of 1 Right to each existing ordinary share. Every 1 Right to be exercised will be converted into 24 new ordinary shares of nominal value €1.00 each at the exercise price of €24.00 per Right, provided that the exercise price of €1.00 for each share to be issued is fully paid to the Company.
