With reference to the Mandatory Tender Offer submitted on 2 July 2025 for the acquisition of the total amount ofshares and voting rights of the company with the name "INTRALOT S.A. - INTEGRATED LOTTERY SYSTEMS AND SERVICES" (the "Tender Offer"), the company "PE SUB HOLDINGS, LLC" hereby announces that on 22 August 2025 the sole condition of the Tender Offer referred to in section 1.14 of the Information Circular of 30 July 2025 has now been satisfied. Therefore, the Tender Offer is no longer subject to any condition.
