INTESA SANPAOLO: CHANGE IN SHARE CAPITAL
Turin - Milan, 8 September 2022 – Intesa Sanpaolo communicates the new composition of its subscribed and paid-in share capital following the annulment, on 7 September 2022, of the own shares purchased in the period 1 August - 2 September 2022 in execution of the buyback programme which was disclosed to the market on 24 June 2022 and launched on 4 July 2022: 387,343,682 Intesa Sanpaolo ordinary shares without nominal value were annulled, with no reduction in the Bank's share capital which amounts to 10,368,870,930.08 euro divided into 19,267,277,397 ordinary shares without nominal value, as shown in the table below.

The Articles of Association amended to reflect the aforementioned annulment of own shares were filed with the Turin Company Register on 8 September 2022.
On 3 August 2022, the 322,814,884 own shares purchased in the period 4 July - 29 July 2022 in execution of the buyback programme were annulled, with no reduction in the Bank's share capital - remained unchanged in its amount at 10,368,870,930.08 euro - which pre-annulment was divided into 19,977,435,963 ordinary shares without nominal value.
