Intertainment AG: Rüdiger Baeres sells majority holding in Intertainment

The issuer is solely responsible for the content of this announcement. —————————————————————————— Rüdiger Baeres sells majority holding in Intertainment Munich, May 8, 2006 – Rüdiger Baeres and Kinowelt GmbH, Leipzig, today informed the Board of Management of Intertainment AG, Munich, that Mr. Baeres has sold 50.05 percent of the shares in Intertainment to Kinowelt GmbH, its main shareholder MK Medien GmbH and to seven subsidiary companies of Kinowelt GmbH. Baeres and Kinowelt GmbH also informed the Board of Management that completion of the contract of sale is subject to the condition precedent of granting a privilege for rehabilitation by the Federal Financial Supervisory Authority (BaFin). Grant of the privilege for rehabilitation would not entail the purchasing group having to submit a mandatory offer to the independent shareholders of Intertainment AG for the takeover of the Intertainment shares held by these shareholders. Intertainment welcomes the intervention of Kinowelt and expects to be able to benefit from the comprehensive know-how of the company in the area of media and film.
