INTERSHOP Communications AG gab heute bekannt, daß sie bei der US- Wertpapierbehörde SEC (United States Securities & Exchange Commission) einen Zulassungsantrag SEC F-1 zum Handel von 4.350.000 American Depositary Shares (ADS) gestellt hat. Das Unternehmen beantragt die Börsennotierung der ADS an der Nasdaq (Nasdaq Stock Markets National Market) unter dem Symbol “ISHP”. Derzeit werden bereits Stammaktien der Gesellschaft am Neuen Markt der Frankfurter Wertpapierbörse unter dem Symbol “ISH” öffentlich gehandelt. Vor diesem Angebot hatte es keinen öffentlichen Handel von INTERSHOP ADS gegeben. Jeder ADS wird ein Zehntel einer bisherigen Stammaktie repräsentieren und wird verbrieft durch ein American Depository Receipt (ADR). Das Bankenkonsortium besteht aus Credit Suisse First Boston, Chase H&Q und U.S. Bancorp Piper Jaffray. Die Gesellschaft räumt den Konsortialbanken eine zusätzliche Zuteilungsoption zum Verkauf von maximal 650.000 weiteren ADS ein. Diese Option kann von dem Konsortium innerhalb von 30 Tagen nach der Aufnahme des Handels ausgeübt werden. INTERSHOP Communications AG announced today that it has filed an SEC Form F-1 registration statement with the United States Securities & Exchange Commission for the offering of 4,350,000 American Depositary Shares (ADS). The Company has applied to list the ADSs on the Nasdaq Stock Market’s National Market under the trading symbol “ISHP”. Bearer ordinary shares of INTERSHOP Communications are currently publicly traded on the Neuer Markt sector of the Frankfurt Stock Exchange under the trading symbol “ISH”. Prior to this offering, there has been no public market for INTERSHOP ADSs. Each ADS will represent 1/10 of one bearer ordinary share and will be evidenced by an American Depository Receipt (ADR). The managing underwriters for the offering are Credit Suisse First Boston, Chase H&Q and U.S. Bancorp Piper Jaffray. The Company has granted the underwriters an option to purchase up to a maximum of 650,000 additional ADSs to cover over-allotments. This option may be exercised by the underwriters within 30 days following the pricing of the offering.
