IL RETICOLO DI PRESENZA DEL GRUPPO NEL SETTORE DEI CILINDRI SI ESTENDE A UN IMPORTANTE PAESE COME IL BRASILE

Sant'Ilario d'Enza (RE), 24 ottobre 2024 – Interpump Group annuncia di avere sottoscritto un contratto vincolante per l'acquisizione del 59% del capitale, tramite la controllata IPH Brasile, della Società Hidrover Equipmentos Hidraulicos Ltda operante nel settore dei cilindri idraulici.

Fondata nel 1974, di proprietà del management dal 2017 e con oltre 100 dipendenti, la Società è specializzata nella produzione di cilindri idraulici coprendo l'intero processo produttivo e avendo come mercati di riferimento quelli delle costruzioni e dell'agricoltura. Hidrover stima di chiudere il 2024 con un fatturato di circa 23 milioni di Euro, un EBITDA margin nell'intorno del 26% e una cassa pari a circa 3 milioni di Euro.¹

Il prezzo dell'operazione è stato pari a circa 17,5 milioni di Euro e sono già stati definiti i meccanismi di "put&call" attraverso i quali Interpump Group potrà acquisire le rimanenti quote.

L'ingresso del Gruppo nel settore dei cilindri è datato 2008 con le acquisizioni di Contarini, Modenflex, Cover, Panni Oleodinamica e HS Penta tutte operanti, pur con specializzazioni diverse, nel settore dei cilindri oleodinamici e dei relativi componenti; nel 2019 un ulteriore importante passo di sviluppo è stato fatto con l'acquisizione della canadese Hydra Dyne Tech.

Il Dott. NETWORK OF GROUP PRESENCE IN CYLINDER SECTOR EXTENDS TO AS MAJOR A COUNTRY AS BRAZIL

Sant'Ilario d'Enza (RE), 24 October 2024 – Interpump Group announces that it has signed a binding agreement for the acquisition of 59% of the share capital, through its subsidiary IPH Brazil, of Hidrover Equipmentos Hidraulicos Ltda, operating in the hydraulic cylinders sector.

Founded in 1974, owned by the management since 2017 and with over 100 employees, the Company specializes in the production of hydraulic cylinders, covering the entire production process with construction and agriculture as its reference markets. Hidrover estimates that it will end 2024 with a turnover of approximately €23 million, an EBITDA margin of around 26%, and a cash flow of approximately €3 million.2

The total consideration for the transaction was approximately €17.5 million and a decision on the "put and call" mechanisms was made whereby Interpump Group can acquire the remaining proportion.

The Group's entry into the cylinder sector dates back to 2008 with the acquisitions of Contarini, Modenflex, Cover, Panni Oleodinamica and HS Penta, all operating, albeit with different specializations, in the field of hydraulic cylinders and related components; in 2019, a further major step in development was taken with the acquisition of the Canadian company Hydra Dyne Tech.
