ASSEMBLEA DEGLI AZIONISTI DEL 26 APRILE 2024

PUBBLICAZIONE DOCUMENTAZIONE ASSEMBLEARE

S. Ilario d'Enza (RE), 4 aprile 2024 – Si rende noto come i documenti relativi alla prossima Assemblea Ordinaria degli Azionisti, convocata per il 26 aprile 2024, e in particolare:

• la Relazione finanziaria annuale al 31/12/2023 (comprendente il progetto di bilancio di esercizio, il bilancio consolidato, la Relazione degli Amministratori sulla gestione, l'attestazione rilasciata dal Presidente Esecutivo e dal Dirigente preposto alla redazione dei documenti contabili societari),
• la Relazione della Società di Revisione,
• la Relazione del Collegio Sindacale e
• la Dichiarazione consolidata di carattere non finanziario redatta ai sensi del D.Lgs. n. 254/2016

siano stati messi a disposizione del pubblico presso la sede sociale, sul sito internet della società www.interpumpgroup.it nella sezione "Governance – Documentazione Assembleare" e depositati presso il meccanismo di stoccaggio autorizzato all'indirizzo .

Saranno altresì messi a disposizione del pubblico nei termini e con le modalità previste dalla normativa vigente:

• i bilanci e/o i prospetti riepilogativi delle società controllate e collegate di Interpump Group S.p.A., in conformità al disposto dell'articolo 2429 Codice Civile.

Si ricorda infine come dallo scorso 27 marzo siano già a disposizione i seguenti documenti:

• l'avviso di convocazione dell'Assemblea Ordinaria degli Azionisti in data 26 aprile 2024,
• la Relazione illustrativa del Consiglio di Amministrazione sulle proposte all'Assemblea;
• la Relazione sul governo societario e gli assetti proprietari,
• la Relazione sulla politica in materia di remunerazione e sui compensi corrisposti, il Documento informativo redatto ai sensi dell'Art.84-bis comma 5 del Regolamento Consob n. 11971/1999 (Regolamento Emittenti),
• l'informativa sul Capitale Sociale,
• il Modulo di delega per il conferimento di deleghe e subdeleghe al Rappresentante Designato per la rappresentanza in Assemblea ai sensi dell'art. 135-novies del D. Lgs. 58/1998 e
• il Modulo per il conferimento della delega e delle relative istruzioni di voto al Rappresentante Designato ai sensi dell'art. 135-undecies del D. Lgs. 58/1998.

GENERAL SHAREHOLDERS' MEETING, 26 APRIL 2024

PUBLISHING OF DOCUMENTS FOR THE MEETING

S. Ilario d'Enza (RE), 4th April 2024 – The Company announces that the documents pertaining to the upcoming General Shareholders' Meeting of 24 April 2024, and in particular:

• Separate and Consolidated Financial Statements for the FY ended December 31, 2023 (including the draft financial statements, the consolidated financial statements, the Directors' report on operations, the certification issued by the Executive Chairman and the Manager responsible for financial reporting"
• Report of the Independent Auditors,
• Report of the Board of Statutory Auditors,
• Consolidated Non-financial Report prepared according to D.Lgs. 254/2016,

have been made available to the public at its registered office, on its corporate website www.interpumpgroup.it (in section "Governance – Shareholders' Meeting") and have been stored in the authorized storage system eMarket STORAGE at .

The following documents will be also available to the public at the Company's registered office in accordance with the law:

• the financial statements and/or the summary schedules of the subsidiaries and associates of Interpump Group S.p.A., in accordance with the requirements of article 2429 of the Italian civil code.

Please note that since last 27th of March the following documents have been made available:

• Notice of Ordinary Shareholders' Meeting on 26 April 2024
• Report of Directors on proposals made to the Shareholders' Meeting
• Report on corporate governance
• Report on the remuneration policy and compensation paid
• Report compliant to article 84-bis, subparagraph 5 of Consob Regulation n. 11971/1999 ("Issuers' Regulation")
• Information of Share CapitalProxy form for the granting of proxies and sub-proxies to the Designated Representative for representation at the Shareholders' Meeting pursuant to Article 135-novies of Legislative Decree 58/1998 and
• Proxy form for the granting of proxy and related voting instructions to the Designated Representative pursuant to Article 135-undecies of Legislative Decree 58/1998.
