POSTAL BALLOT NOTICE

Dear Member(s),

NOTICE is hereby given pursuant to Section 110 read with Section 108 and other applicable provisions, if any, of the Companies Act, 2013, (“ Act ”), read with Rules 20 and 22 of the Companies (Management and Administration) Rules, 2014, (“ Rules ”), Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“ SEBI LODR Regulations ”), including any modification or re-enactment thereof for the time being in force, and in accordance with the requirements prescribed by the Ministry of Corporate Affairs (“ MCA ”) for conducting postal ballot through e-voting vide General Circular No(s). 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020 read with other relevant circulars issued in this regard, the latest being General Circular No. 03/2025 dated September 22, 2025 (collectively referred to as “ MCA Circulars ”), to transact the special business as set out hereunder by way of postal ballot through voting by electronic means only (“ remote e-voting ”).

Appointment of Mr. Amitabh Kant (DIN: 00222708) as Non-Executive Non-Independent Director

To consider and, if thought fit, to pass the following resolution as an Ordinary Resolution:

RESOLVED THAT pursuant to the provisions of Section 152 read with other applicable provisions, if any, of the Companies Act, 2013, the Companies (Appointment and Qualification of Directors) Rules, 2014, Regulation 17 read with other applicable provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (including any modification(s) or re-enactment(s) thereof, for the time being in force), Articles of Association of the Company and recommendation of the Board of Directors, Mr. Amitabh Kant (DIN: 00222708) who was appointed as an Additional Director in the capacity of Non-Executive Non-Independent Director by the Board, effective September 15, 2025, be and is hereby appointed as a Non-Executive Non-Independent Director of the Company, liable to retire by rotation.

RESOLVED FURTHER THAT the Board of Directors or a duly constituted Committee of the Board, be and is hereby authorised to do all such acts, deeds and things and take all such steps as may be required to give effect to the aforesaid resolution.”

NOTES :

  1. The relevant explanatory statement pursuant to Section 102 of the Companies Act, 2013 (“Act”) and the SEBI LODR Regulations setting out the material facts and reasons for the proposed resolution and other details are annexed hereto.

  2. The Postal Ballot Notice is being sent by electronic mode to those members, whose names appeared in the Register of Members/List of Beneficial Owners as on Friday, October 31, 2025 (“ cut-off date ”) and whose e-mail addresses are registered with the Company/RTA/Depositories. Only those members whose names are appearing in the Register of Members/List of Beneficial Owners as on the cut-off date can cast their votes electronically, in respect of the resolution as set out in the Postal Ballot Notice only through the remote e-voting. A person who is not a member as on the cut-off date should treat this Notice for information purposes only.

  3. In compliance with Regulation 44 of the SEBI LODR Regulations and provisions of Section 108 and Section 110 of the Act read with the Rules and the MCA Circulars, the Company is providing remote e-voting facility to its members, to enable them to cast their votes electronically instead of submitting the Postal Ballot Form physically. The Company has engaged the services of National Securities Depository Limited (“ NSDL ”) for the purpose of providing remote e-voting facility to its members. The instructions for remote e-voting are appended to this Notice. A member cannot exercise his/her vote by proxy on Postal Ballot.

  4. A copy of the Notice is available on the website of the Company at www.goindigo.in or the website of NSDL at www.evoting.nsdl.com. A copy of the Notice is also available on the website of BSE at www.bseindia.com and NSE at www.nseindia.com

  5. The remote e-voting shall commence on Friday, November 7, 2025, at 0900 hours (IST) and shall end on Saturday, December 6, 2025, at 1700 hours (IST). During this period, members of the Company holding shares as on the cut-off date may cast their vote(s) electronically. The remote e-voting module shall be disabled by NSDL for voting thereafter. Once the vote on the resolution is cast by the member, he/she shall not be allowed to change it subsequently.

  6. The voting rights of members for remote e-voting shall be in proportion to the paid-up value of their shares in the Equity share capital of the Company as at close of business hours on the cut-off date.

  7. The Board of Directors of the Company has appointed Mr. Devesh Kumar Vasisht, Managing Partner (Membership No. F8488, CP No. 13700) and/ or Mr. Parveen Kumar, Partner (Membership No. F10315, CP No. 13411) of M/s. DPV & Associates LLP, Company Secretaries, as the Scrutinisers to scrutinise the postal ballot in fair and transparent manner. The Scrutinisers have consented to act as Scrutinisers for this Postal Ballot.

  8. The results of the remote e-voting shall be declared to the Stock Exchanges after the conclusion of Postal Ballot. The results along with the Scrutinisers’ Report, shall also be placed on the website of the Company at www.goindigo.in .

  9. The resolution, if passed by the requisite majority through Postal Ballot, will be deemed to have been passed on the last date specified for remote e-Voting i.e., Saturday, December 6, 2025.

  10. Members desirous of inspecting the documents referred to in the Notice (read with the Explanatory Statement) may send their requests to [email protected] from their registered e-mail addresses mentioning their names, folio numbers/DP ID and Client ID between the period Friday, November 7, 2025 to Saturday, December 6, 2025.

  11. Members holding shares in electronic mode, who have not registered their email addresses are requested to register their email addresses with their respective Depository Participants (DP).

2. After successful login the Easi/Easiest user will be able to see the e-
voting option for eligible companies where the evoting is in progress
as per the information provided by company. On clicking the evoting
option, the user will be able to see e-voting page of the e-voting
service provider for casting your vote during the remote e-voting
period. Additionally, there is also links provided to access the system
of all e-voting Service Providers, so that the user can visit the e-voting
service providers’ website directly.
3. If the user is not registered for Easi/Easiest, option to register is

4. Alternatively, the user can directly access e-voting page by providing

How to Log-in to NSDL e-voting website?

  1. Visit the e-voting website of NSDL. Open web browser by typing the following URL: https://www.evoting.nsdl.com/ either on a Personal Computer or on a mobile.

  2. Once the home page of e-voting system is launched, click on the icon “Login” which is available under ‘Shareholder/Member’ section.

  3. A new screen will open. You will have to enter your User ID, your Password/OTP and a verification code as shown on the screen. Alternatively, if you are registered for NSDL eservices i.e. IDeAS, you can log-in at https://eservices.nsdl.com/ with your existing IDeAS login. Once you log-in to NSDL eservices after using your log-in credentials, click on e-voting and you can proceed to Step 2 i.e. Cast your vote electronically.

Trace the email sent to you from NSDL from your mailbox. Open the email and open the attachment i.e. a .pdf file. Open the .pdf file. The password to open the .pdf file is your 8 digit client ID for NSDL account, last 8 digits of client ID for CDSL account or folio number for shares held in physical form. The .pdf file contains your ‘User ID’ and your ‘initial password’.

  • (ii) If your email ID is not registered, please follow steps mentioned below in process for those members whose email ids are not registered .

  • If you are unable to retrieve or have not received the “Initial password” or have forgotten your password:

  • a) Click on “ Forgot User Details/Password ?”(If you are holding shares in your demat account with NSDL or CDSL) option available on www.evoting.nsdl.com.

  • b) Physical User Reset Password ?” (If you are holding shares in physical mode) option available on www.evoting.nsdl.com.

  • c) If you are still unable to get the password by aforesaid two options, you can send a request at [email protected] mentioning your demat account number/folio number, your PAN, your name and your registered address etc.

  • d) Members can also use the OTP (One Time Password) based login for casting the votes on the e-voting system of NSDL.

  • After entering your password, tick on Agree to “Terms and Conditions” by selecting on the check box.

  • Now, you will have to click on “Login” button.

  • After you click on the “Login” button, Home page of e-voting will open.

- Step 2: Cast your vote electronically on NSDL e voting system.

- How to cast your vote electronically on NSDL e voting system?

  1. After successful login at Step 1, you will be able to see all the companies “EVEN” in which you are holding shares and whose voting cycle.

  2. Select “EVEN” of company for which you wish to cast your vote during the remote e- voting period.

  3. Now you are ready for e-voting as the voting page opens.

  4. Cast your vote by selecting appropriate options i.e. assent or dissent, verify/modify the number of shares for which you wish to cast your vote and click on “Submit” and also “Confirm” when prompted.

  5. Upon confirmation, the message “Vote cast successfully” will be displayed.

  6. You can also take the printout of the votes cast by you by clicking on the print option on the confirmation page.

  7. Once you confirm your vote on the resolution, you will not be allowed to modify your vote.

General Guidelines for members

  1. Institutional members (i.e. other than individuals, HUF, NRI etc.) are required to send scanned copy (PDF/JPG Format) of the relevant Board Resolution/ Authority letter etc. with attested specimen signature of the duly authorised signatory(ies) who are authorised to vote, to the Scrutinisers by e-mail to [email protected] with a copy marked to [email protected]. Institutional members (i.e. other than individuals, HUF, NRI etc.) can also upload their Board Resolution / Power of Attorney / Authority Letter etc. by clicking on "Upload Board Resolution / Authority Letter" displayed under "evoting" tab in their login.

  2. It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential. Login to the e-voting website will be disabled upon five unsuccessful attempts to key in the correct password. In such an event, you will need to go through the “Forgot User Details/Password?” or “Physical User Reset Password?” option available on www.evoting.nsdl.com to reset the password.

  3. Process for those members whose email ids are not registered with the depositories for procuring user id and password and registration of e mail ids for e-voting for the resolution set out in this notice :

  1. In case shares are held in physical mode please provide Folio No., Name of member, scanned copy of the share certificate (front and back), PAN (self attested scanned copy of PAN card), AADHAR (self attested scanned copy of Aadhar Card) by email to [email protected] .

  2. In case shares are held in demat mode, please provide DPID-CLID (16 digit DPID + CLID or 16 digit beneficiary ID), name, client master or copy of consolidated account statement, PAN (self attested scanned copy of PAN card), AADHAR (self attested scanned copy of Aadhar Card) to ([email protected]). If you are an Individual members holding securities in demat mode, you are requested to refer to the login method explained at -

STATEMENT PURSUANT TO SECTION 102 OF THE COMPANIES ACT, 2013

Pursuant to Section 161 of the Companies Act, 2013, the Board of Directors at its meeting held on July 3, 2025, appointed Mr. Amitabh Kant as an Additional Director in the capacity of Non-Executive Non-Independent Director of the Company effective from the date of receipt of security clearance from the Ministry of Civil Aviation (MoCA), subject to approval of the shareholders. The Company received requisite security clearance from MoCA on September 15, 2025. Accordingly, Mr. Kant’s appointment will be with effect from September 15, 2025.

Brief profile of Mr. Amitabh Kant is as follows:

Mr. Kant is a highly respected former Indian bureaucrat. Mr. Kant is a renowned governance reformer and geo-political strategist who has been a key driver of several nation-building initiatives like Make in India, Startup India, Incredible India and God's Own Country.

A member of the Indian Administrative Service (IAS) Kerala Cadre - 1980 batch, Mr. Amitabh Kant has had an illustrious career spanning over four decades. Most recently, he served as India’s Sherpa to Prime Minister Narendra Modi during the G20 Presidency. His leadership delivered the historic New Delhi Leaders’ Declaration, which emphasised tackling global issues, catalysing growth, expanding India’s digital public infrastructure and advocating ambitious reforms in climate finance, geopolitics and technology. He has also been the driving force behind several large-scale sustainability initiatives such as the Green Hydrogen Mission and the National Mission on Transformative Mobility and Battery Storage.

Mr. Kant was also the Chief Executive Officer of National Institution for Transforming India (NITI Aayog) for a period of six years spearheading the Aspirational Districts Program (ADP), elevating several backward districts to top performers, recognised by the UNDP. During his tenure, he served in several key roles including Director on the Board of the National Highways Authority of India and Member of India’s National Statistical Commission.

He has also led key infrastructure projects like the expansion of Calicut Airport and the DelhiMumbai Industrial Corridor.

Mr. Kant holds a Bachelor of Arts (B.A.) Honours in Economics from St. Stephen's College, Delhi University and Master of Arts (M.A.) in Economics from Jawaharlal Nehru University. He was honored with Chevening Scholarship, awarded by UK Government.

Mr. Kant has confirmed his eligibility and has given his consent to serve as a Director of the Company. The Company has received a declaration from him confirming that (i) he is not disqualified from being appointed as a Director in terms of Section 164 of the Act; and (ii) he is not debarred from holding office of Director pursuant to any order of Securities and Exchange Board of India, Ministry of Corporate Affairs or any such other statutory authority.

In the opinion of the Board, Mr. Amitabh Kant fulfils the conditions specified in the Act, rules made thereunder and SEBI LODR Regulations for appointment as a Director of the Company. The Board believes that Mr. Kant’s exceptional credentials, global experience and deep expertise in regulatory, commercial and strategic domains besides his extensive service with the Government of India and leadership in high impact projects would bring great value to the Board and the Company.

The Company has also received a notice under Section 160 of the Act from a member proposing the candidature of Mr. Kant as a Director of the Company as per the applicable provisions of the Act.

As a Non-Executive Non-Independent Director, Mr. Kant shall be entitled to receive remuneration in the form of sitting fee for attending Board and Committee meeting(s).

The requisite details of Mr. Kant as required under the SEBI LODR Regulations and Secretarial Standard on General Meetings issued by the Institute of Company Secretaries of India are attached as Annexure to this Notice.

The Board, considering his rich experience and knowledge to be of immense value to the Company, recommends his appointment to the members by way of ordinary resolution.

Save and except Mr. Kant and his relatives, none of the other Directors, Key Managerial Personnel or their relatives are concerned or interested, financially or otherwise, in the resolution as set out above in the Notice.
