In compliance with Regulation 30 and other applicable regulations of the SEBI LODR Regulations, we hereby inform that the Nomination and Remuneration Committee of the Company (“NRC”) has, approved grant of 129,134 Performance Stock Units (“PSUs”) to the Chief Executive Officer of the Company on April 1, 2023, under InterGlobe Aviation Limited - Employees Stock Option Scheme 2015 (the “Scheme”).
The details as required, under the SEBI LODR Regulations read with SEBI Circular CIR/CFD/CMD/4/2015 dated September 9, 2015, are provided as Annexure I to this letter.

| 12. | Brief details of significant terms | a) The total number of PSUs to be granted under the Scheme shall not exceed 129,134 PSUs that would entitle the grantee to acquire, not exceeding 129,134 number of equity shares of the Company at the face value of Rs. 10/- each subject to the terms and conditions of the vesting set out in the Scheme. b) The PSUs shall vest subject to the grantee’s continued employment with the Company and the Company achieving pre-determined performance metrics as per the Company’s standalone audited financials. c) The grantee shall bear any taxes arising as applicable at the time of exercise of vested PSUs. |
