ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On July 28, 2010, Interface, Inc. amended the Amended and Restated Employment and Change in Control Agreement of Ray C. Anderson to extend the term of the agreement by two years. (A copy of the amendment, dated as of July 28, 2010, is attached hereto as Exhibit 99.1.) As amended, the term of the agreement expires on July 28, 2012.
