Item 8.01. Other Events.

On January 23, 2023, InterDigital, Inc. (the “Company”) issued a press release announcing that it has commenced a modified “Dutch auction” tender offer (the “Tender Offer”) to purchase for cash up to $200 million of its common stock, par value $0.01 per share (the “Common Stock”) at a price per share not less than $60.00 and not greater than $69.00 less any applicable withholding taxes and without interest, using available cash on hand. The Tender Offer will expire at 11:59 p.m., New York City time, on February 17, 2023, unless extended or terminated. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
