Notification of transactions by directors, persons discharging managerial responsibility or connected persons

Jim Abrahamson, President, The Americas, has been awarded conditional rights over 135,000 InterContinental Hotels Group PLC ("Company") ordinary shares. One-third of these shares (ie, 45,000) will vest on the first, second and third anniversaries of Mr Abrahamson joining the Company. These awards form part of Mr Abrahamson's recruitment terms .

In addition, Mr Abrahamson has been granted conditional rights over the Company's ordinary shares under the Long Term Incentive Plan ("LTIP") . Under the terms of the LTIP, the maximum number s of shares that can be transferred if performance conditions are met in full are as follows :

As at 27 February 200 9 , InterContinental Hotels Group PLC's issued share cap ital consists of 28 5,5 82 , 046 ordinary shares of 13 29 / 47 pence each with voting rights. The Company does not hold any shares in Treasury. Therefore the total number of ordinary shares in the Company wi th voting rights is 285,5 82 , 046 .

The above figure , 2 85 , 5 82 , 046 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, InterContinental Hotels Group PLC under the FSA's Disclosure and Transparency Rules.
