Item 1.01. Entry into a Material Definitive Agreement.

On January 15, 2013, the single operating subsidiary of Globalwise Investments, Inc., Intellinetics, Inc. (“Intellinetics”) and Alpharion Capital Partners (“Alpharion”) entered into a promissory note combination #7 second extension agreement dated January 15, 2013, (the “Note Combination #7 Second Extension Agreement”) with an aggregate principal amount of $131,500 extending its due date until February 14, 2013, without changing any other terms. The Note Combination #7 Second Extension Agreement is filed as Exhibit 10.1 to this Current Report on Form 8-K. The summary of the terms of the Note Combination #7 Second Extension Agreement contained herein is qualified in its entirety by reference to such Exhibit 10.1.

Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On January 15, 2013, Intellinetics and Alpharion entered into the Note Combination #7 Second Extension Agreement. The terms of the Note Combination #7 Second Extension Agreement are described in Item 1.01 of this Current Report on Form 8-K, which description is incorporated herein by reference.
