Item 2.02. Results of Operations and Financial Condition

On July 14, 2008 Intelli-Check - Mobilisa, Inc. (the “Company”) issued a press release containing certain preliminary financial results for its second quarter of 2008 and announcing a special conference call on July 15, 2008. This Current Report on Form 8-K includes a copy of the press release as Exhibit 99.1 and the script of the comments made by Dr. Nelson Ludlow as Exhibit 99.2.
