Upscaled Green Senior Secured Loan Facility

Integrated Wind Solutions ASA (“IWS”) is pleased to announce that it has further strengthened its financial position and improved its flexibility as its subsidiary, IWS Fleet, has successfully signed an upsized Green Senior Secured Loan facility. The outstanding balance under the previous facility was approximately EUR 166.3 million, which has now been increased to EUR 208.5 million, including a EUR 20 million revolving credit facility (“RCF”).

The overall commercial terms have been improved, and the commercial tranche has been extended to December 2030, with a two-year amortisation holiday.

The agreement with Export Finance Norway (“Eksfin”), Nordic Investment Bank (“NIB”), Skandinaviska Enskilda Banken AB (“SEB”), and SpareBank 1 Sør-Norge ASA (“SpareBank 1 Sør Norge”) of the upsizing is structured as an amendment and restatement of the pre-existing facility.

This agreement provides IWS Fleet with high flexibility, robust liquidity, and an even stronger balance sheet. Combined with efficient vessel operations and earnings visibility supported by our charter backlog, IWS Fleet is well-positioned for the coming years.

Shareholder distributions

As stated in the Q3 2025 report, the IWS group will have a strong cash generation from the six vessels based on the IWS Fleet’s expected activity. In this context, the Board of Directors in IWS has decided to initiate quarterly distributions to shareholders, with the first distribution expected in Q1 2026. The Board of Directors will decide the amount and IWS’s distribution policy, no later than in connection with the Q4 2025 report on 24 February 2026.
