Respected Sir / Madam,

The Board of Directors at their meeting held on Friday, 31[st] March, 2023, inter-alia considered and approved the following;

Change in designation from Managing Director to Non-Executive Director;

1. Mr. Arvind K. Shah (DIN: 00094647) has conveyed his intention to step down as the Managing Director effective from 1[st] April, 2023, due to his pre-occupancy and prior commitments however, he consented to continue as the ‘Non-Executive Director’ of the Company. The Board of Directors in its meeting held today approved his continued association as a Non- Executive Director and taken on record his contribution to the Company as the Managing Director. Consequently, he has ceased to be the Key Managerial Personnel as per the provisions of Companies Act, 2013 and as per Regulation 30(2) of SEBI(LODR) Regulation, 2015 for purpose of determining the materiality of an event or information effective from the above-mentioned date.

Appointment of Additional and Managing Director:

1. The Board of Directors of the Company at their Meeting held today appointed Mr. Chintan Arvindbhai Shah (DIN: 00228733) as an Additional Director and Managing Director of the Company for a period of 5 years with effect from April 1, 2023. The appointment of Mr. Chintan Shah will be subject to the approval of shareholders. The relevant details as per the requirement of Regulation 30 of SEBI (LODR) Regulations, 2015, are given in the enclosed Annexure A.
