积成电子股份有限公司于2008 年2 月1 日在公司会议室召开2007 年度股东 大会，会议应到股东20 人，实到股东及股东授权代表13 人，代表股份6400 万 股，占公司股份总额的100%，符合《公司法》和《公司章程》的有关规定。会 议由杨志强董事长主持，会议以投票表决方式作出如下决议：

一.审议通过《2007 年度董事会工作报告》

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

五. 审议通过《2008 年度财务预算报告》

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

六.审议通过《2007 年度利润分配方案》

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

七.审议通过《关于公司董事、监事薪酬的决定》

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

• 八. 审议通过《关于聘请2008 年度会计师事务所的议案》

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0

• 九. 审议通过《关于拟首次公开发行并上市2200 万股A 股股票的议案》

1、本次发行股票的种类和数量：人民币普通股即A 股，发行数额2200 万股 （每股面值1 元），具体确切的发行数额提请股东大会授权公司董事会根据中国 证监会的核准情况决定；

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

2、发行方式：采用网下向配售对象累计投标询价发行和网上资金申购定价 相结合的方式或中国证监会批准的其他方式。

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

3、发行对象：符合资格的询价对象和在深圳证券交易所开立A 股股票帐户 的符合条件的境内自然人和法人等投资者（国家法律、法规禁止购买者除外）。 表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

4、定价方式：本次发行价格将通过向询价对象询价确定发行价格区间，在 发行价格区间内，向配售对象累计投标询价，综合累计投标询价结果和市场情况 确定。

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

5、发行前滚存利润的分配方案：本次发行前未分配利润由公司新老股东共 同享有。

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

6、发行承销方式：海通证券余额包销。

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

7、拟上市地：深圳证券交易所

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

• 8、决议的有效期：自股东大会决议作出之日起12 个月。

十. 审议通过《关于提请股东大会讨论通过<募集资金使用方案>的议案》 本次发行上市募集资金数量预计约15,079.00 万元人民币，经对募集资金运 用进行的可行性分析，同意本次募集资金计划全部用于以下三个项目：

• 1、数字化变电站自动化系统，预计投入募集资金6,166 万元。

• 2、数字化电网调度综合应用系统，预计投入募集资金4,638 万元。

• 3、电能信息采集与管理系统，预计投入募集资金4,275 万元。

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

十一. 审议通过《关于提请股东大会授权董事会就与公司本次发行有关的事 宜进行决策的议案》

为确保本次公开发行股票并上市工作圆满成功，股东大会授权董事会就与公 司本次发行有关的事宜进行决策，该事宜包括但不限于：

1、根据股东大会批准的原则，在法律、法规和《公司章程》允许的范围内， 按照证券发行监管部门的要求，并依据公司的实际情况，与保荐机构协商确定并 实施公司本次发行上市的有关具体方案，包括但不限于发行规模、发行定价、发 行方式、发行时间、发行对象及发行上市地等；

• 2、授权董事会出具和签署与本次发行及上市相关的法律文件，包括但不限

• 于聘请中介机构的服务协议、实施募集资金投资项目的重大合同；

• 3、授权董事会制作本次股票发行上市申报材料；

• 4、授权董事会在本次发行上市后，根据公司发行后的实际情况，对经本次

• 股东大会审议通过的《积成电子股份有限公司章程（草案）》进行修改完善；

• 5、授权董事会在本次发行上市后办理工商变更登记手续；

• 6、授权董事会根据中国证监会的要求及市场情况，在股东大会审议批准的

• 项目范围内，对本次发行募集资金运用方案进行适当的修订调整；

• 7、授权董事会办理与本次发行上市相关的其它事宜；

上述决议授权有效期：自股东大会决议作出之日起12个月。

十二. 审议通过《关于修改公司章程及相关制度的议案》

会议审议通过了按《上市公司章程指引》的要求进行补充和修改的《公司章 程修正案》，同时会议一致审议同意，为保持公司制度的统一，根据章程修改的 内容对《股东大会议事规则》、《董事会议事规则》，《监事会议事规则》、《总 经理工作细则》进行修改。前述经修改的《公司章程修正案》及相关制度，于本 次股东大会通过后立即生效。

表决结果：同意票6400 万股，占出席会议股东所持股份的100%；反对票0 股，弃权票0 股。

十三.审议通过《积成电子股份有限公司章程（上市修订草案）》

《积成电子股份有限公司章程（上市修订草案）》是按照《上市公司章程指 引》等规范性文件的规定起草的，目的是适应公司股票上市后法律、法规及公司 实际情况的需要，自公司股票上市之日起生效施行。
