Pursuant to provision of the Capital Market Act and Zagreb Stock Exchange rules, the INSTITUT IGH d.d. with the registered seat in Zagreb, Janka Rakuše 1, OIB:79766124714, MBS: 080000959 hereby issues the following

STATEMENT

• I INSTITUT IGH d.d. announces herewith that it concluded on 21 February 2012 the "Agreement on Provision of Advisory and Investment Services" with the company Auctor d.o.o. from Zagreb, Dežmanova 5, OIB: 1920305059. By conclusion of this Agreement, the INSTITUT IGH, d.d. has selected its investment advisor for the final phase of investigation of possibilities for restructuring the company's capital and debt through issuance of securities.
• II INSTITUT IGH, d.d. can in no way guarantee that the final phase of investigation of possibilities for restructuring the company's capital and debt will actually result in issuance of securities, nor can it state at what price new shares and/or other securities would be issued, or give information about the number, kind, type and rights relating to securities that might be issued. In addition, the company can not confirm whether possible issuance of securities will include the priority right for subscription of shares or the full or partial exclusion of priority rights, all in accordance with Art. 308 of the Companies Act.
• III INSTITUT IGH, d.d. will keep informing its shareholders and investor community about the progress of the said procedure, and shall release all information that has to be made public in accordance with provision of the Capital Market Act, Zagreb stock exchange rules and other relevant regulations and subordinate acts.
