Sub: Intimation of comments made by Board of Directors on non-compliance with the requirements pertaining to composition of Audit Committee.

This is to inform you that the matter related to non-compliance of the Regulation 18( 1) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and fine imposed by the stock exchanges (National Stock Exchange of India Ltd., and SSE Ltd.) for the same, was placed before the Board of Directors in its meeting held on O?lh November, 2019.

The Board took note of the same and advised the company to ensure with the compliance as per the SEBI LODR Regulations, 2015. Further, the Board was informed that Mr. Bin Cheng (Non-Executive & Non-Independent Director) has resigned as Director of the Company w.e.f. 07th November, 2019 and accordingly the Audit Committee has been re-constituted. Hence, the composition of Audit Committee is now in compliance with Regulation 18(1) of the SEBI (LODR) Regulations, 2015 and other applicable provisions.
